General terms governing access to and use of the Kominote platform
1. Agreement to These Terms
These Terms of Service ("Terms") govern access to and use of Kominote's websites, applications, marketplace, professional-services marketplace, messaging, organization tools, community features, payment-related functionality, and related services (collectively, the "Platform"). By creating an account or using the Platform, a user agrees to these Terms and any policies incorporated by reference.
If a user does not agree to these Terms, the user should not use the Platform.
2. About Kominote
Kominote is a digital marketplace and community-commerce platform that connects consumers with businesses, vendors, professionals, service providers, organizations, products, services, projects, and events. Except where Kominote expressly states otherwise, sellers and service providers are independent third parties and not employees or agents of Kominote.
3. Eligibility
Users must be legally capable of entering into a binding agreement. Certain functions, including selling, providing professional services, receiving payouts, or administering an organization, may require a user to be at least 18 years old or the age of legal majority in the applicable jurisdiction.
4. Accounts
Users must provide accurate information, keep credentials secure, and promptly update material account information.
- Do not impersonate another person or entity.
- Do not create accounts to evade restrictions or suspensions.
- Do not access another user's account without authorization.
- Do not use automated systems to create fraudulent accounts or manipulate Platform activity.
5. Multiple Roles
A single Kominote account may support multiple roles, including member, buyer, seller, business owner, professional, service provider, or organization representative. Additional onboarding or verification may apply to particular roles.
6. Marketplace Transactions
Kominote may facilitate transactions between buyers and independent sellers. Sellers are responsible for accurate listings, lawful products, inventory, fulfillment, shipping, and compliance with applicable consumer laws. Buyers are responsible for accurate payment and delivery information.
7. Professional Services
Professionals and service providers are responsible for their qualifications, licenses, insurance, certifications, service quality, scheduling, and compliance with laws applicable to their work. Kominote verification does not replace any government or professional licensing requirement.
8. Payments
Payments may be processed by third-party payment providers. Users may be required to agree to those providers' terms. Kominote does not intend to store complete payment-card numbers or card security codes on its own servers.
9. Kominote Fees
Kominote may charge marketplace, transaction, service, subscription, promotional, or other disclosed fees. Applicable fees will be disclosed before the relevant transaction or in seller/provider pricing information.
Kominote platform, marketplace, and service fees are non-refundable by default, except where required by applicable law or expressly authorized by Kominote. Fee changes apply prospectively and do not retroactively alter completed transactions.
10. Seller Earnings and Payouts
Seller and provider earnings may remain pending until applicable settlement conditions are satisfied. Kominote or its payment provider may delay or hold payouts for fraud review, disputes, refunds, chargebacks, verification, security concerns, legal requirements, or policy violations. Pending funds are not represented as legal escrow unless Kominote expressly establishes an authorized escrow arrangement.
11. Taxes
Users are responsible for taxes for which they are legally responsible. Kominote or its payment providers may collect, report, withhold, or remit taxes where required by law.
12. Reviews
Kominote may identify reviews linked to completed transactions as Verified Purchase or Verified Booking. Users may not fabricate, buy, sell, manipulate, threaten others over, or otherwise deceptively influence reviews.
13. Community Features and User Content
Users may post content, messages, comments, reviews, event information, organization materials, and other submissions. Users remain responsible for their content and for having the rights necessary to submit it.
License to Operate the Platform
Users retain ownership rights they have in their content. By submitting content to Kominote, users grant Kominote a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and technically modify that content as reasonably necessary to operate, secure, improve, and promote the Platform, subject to applicable privacy settings and law.
14. Intellectual Property
Kominote's software, branding, trademarks, interfaces, original content, and proprietary materials are protected by applicable intellectual-property laws. Use of the Platform does not transfer ownership of Kominote intellectual property.
15. Prohibited Activity
- Fraud, scams, deceptive transactions, or payment manipulation.
- Threats, harassment, stalking, exploitation, or impersonation.
- Unlawful products, services, or activity.
- Malware, unauthorized access, credential theft, or security interference.
- Review manipulation or transaction manipulation.
- Intellectual-property infringement.
- Using Kominote primarily to acquire customers and intentionally evade applicable Kominote transaction fees.
16. Enforcement
Kominote may investigate suspected violations and, where appropriate, remove content or listings, restrict features, require verification, hold transactions or payouts as permitted, suspend or terminate accounts, and cooperate with lawful investigations.
17. Third-Party Services
Kominote may integrate payment, shipping, identity-verification, mapping, analytics, communications, and other third-party services. Independent third parties may have their own terms and privacy practices.
18. Platform Availability
Kominote does not guarantee uninterrupted availability. Features may change, be limited, or be discontinued as the Platform develops.
19. Disclaimers
To the maximum extent permitted by law, the Platform is provided on an as-available basis. Kominote does not guarantee the quality, legality, safety, accuracy, or performance of every independent product, seller, provider, organization, or user. Nothing in these Terms excludes rights or warranties that cannot legally be excluded.
20. Limitation of Liability and Dispute Resolution
The final limitation-of-liability, governing-law, venue, arbitration, class-action, and consumer-dispute provisions should be completed after Kominote's operating legal entity and principal jurisdiction are confirmed and reviewed by qualified counsel.
21. Termination
Users may stop using Kominote and may request account deletion. Kominote may suspend or terminate accounts for material violations, fraud, security risk, legal requirements, or other grounds permitted by these Terms and law. Certain transaction, tax, fraud, dispute, and legal records may survive account closure.
22. Changes to These Terms
Kominote may update these Terms. Material changes will be communicated as appropriate, and re-acceptance may be required for material marketplace or seller changes.
